Buyers spend months negotiating product specifications, quality standards, and pricing -- only to have their goods seized, destroyed, or returned at the destination port because the packaging does not comply with local regulations. The product inside may be perfect. The packaging destroys the shipment.
The financial impact of packaging and labeling non-compliance extends far beyond the value of the goods themselves. When a container is rejected by destination customs, the buyer faces: demurrage charges (port storage fees) that can reach hundreds of dollars per day; detention charges on the shipping container; costs of re-exporting or destroying the goods; loss of the sale to the end customer; potential liability to downstream buyers for delay; and, in many cases, the complete loss of the goods if re-export is not commercially viable. A packaging error costing a few cents per unit can trigger a loss in the tens or hundreds of thousands of dollars.

Many countries require clear country-of-origin marking on imported goods (e.g., "Made in China" in English for US imports). If a Chinese supplier applies such claims to packaging without the underlying certification, the buyer bears the risk of regulatory action, consumer class actions, and competitor challenges at the destination.
Under Article 35(1) of the UN Convention on Contracts for the International Sale of Goods (CISG), the seller must deliver goods that are of the quantity, quality, and description required by the contract and that are "contained or packaged in the manner required by the contract." Article 35(2)(b) further requires that, unless otherwise agreed, goods must be fit for any particular purpose expressly or impliedly made known to the seller at the time of the contract. If the buyer communicates that the goods are destined for a specific market, the packaging must comply with that market's requirements. Article 35(2)(d) requires goods to be "contained or packaged in the manner usual for such goods or, where there is no such manner, in a manner adequate to preserve and protect the goods." This creates a baseline obligation: even if the contract says nothing about packaging, the seller must package adequately for international transit.

For certain product categories, China's own export inspection regime applies. Products listed in the Catalogue of Import and Export Commodities Subject to Compulsory Inspection must undergo inspection by China Customs before export. This includes many food products, certain chemicals, mechanical and electrical products, and goods subject to mandatory Chinese standards. Export inspection focuses on safety, health, and environmental requirements of the destination country where these are known -- but the existence of Chinese export inspection does not relieve the exporter (or the foreign buyer, depending on INCOTERMS) of responsibility for destination market compliance.
ISPM 15 is implemented by the national plant protection organizations of importing countries worldwide. It requires that all solid wood packaging material thicker than 6mm be either heat-treated to a core temperature of 56 degrees Celsius for at least 30 minutes (marked "HT") or fumigated with methyl bromide (marked "MB"), and stamped with the IPPC mark identifying the treatment facility, country, and treatment method. The mark must be on at least two opposite sides of the WPM. The goods are placed in detention -- they cannot be released to the consignee or moved from the customs-controlled area. A detention notice is issued to the customs broker or importer of record, typically specifying the reason for detention and the regulatory basis.
Most customs authorities provide the importer an opportunity to bring the goods into compliance. This may involve: submitting missing certification documents; re-labeling products at a customs-bonded warehouse; providing laboratory test results for regulated substances; or posting a bond pending compliance verification. The time allowed for curing defects varies by jurisdiction and is typically 30-90 days, though extensions may be granted.
This is where the financial damage escalates. While goods are detained, demurrage charges accrue daily -- these are fees charged by the port terminal for storage of containers beyond the free time period (typically 3-7 days). Simultaneously, detention charges accrue for use of the shipping line's container beyond the allowed free days. Combined demurrage and detention charges can reach USD 100-300 per container per day. For a multi-container shipment detained for 30 days, these charges alone can exceed USD 10,000-30,000.
If the goods cannot be brought into compliance within the allowed period (or if the cost of compliance exceeds the goods' value), the importer faces three options: (a) re-export the goods to another jurisdiction where they may be compliant -- at the importer's cost for freight, handling, and documentation; (b) destroy the goods -- under customs supervision, at the importer's cost, with potential environmental disposal fees for certain categories (electronics, chemicals); or (c) abandon the goods to customs -- which typically results in destruction, with the importer remaining liable for all accumulated charges plus destruction costs. None of these options recovers the value of the goods or the freight already paid.
Beyond the direct costs, the importer faces: loss of the customer sale (potentially with contractual penalties for non-delivery); reputation damage with the customer and customs authorities (future shipments may face heightened scrutiny); insurance coverage disputes (standard cargo insurance typically excludes loss due to regulatory non-compliance); and potential liability to downstream buyers for consequential losses caused by the delay or non-delivery.
Under a typical FOB or CIF contract where the supplier arranges packaging and labeling, the supplier bears primary responsibility for compliance. However, recovering those costs from a Chinese supplier after the fact is the problem. The supplier will argue that the buyer approved the packaging design, or that the buyer's specifications were insufficiently detailed, or that the destination country's requirements changed without notice. The buyer, having already paid for the goods and now facing tens of thousands in demurrage and destruction charges, is in a weak negotiating position. The contractual solution: (a) an express warranty from the supplier that all packaging and labeling complies with the specified destination country regulations; (b) an indemnity from the supplier for all costs arising from packaging/labeling non-compliance (customs fines, demurrage, detention, re-export, destruction, and legal fees); (c) liquidated damages for packaging non-compliance that do not require proof of actual loss; and (d) a retention right allowing the buyer to withhold a meaningful percentage of the contract price pending successful customs clearance at the destination.
Your supplier contract should include a detailed packaging specification annex covering: (a) outer packaging -- carton material, flute type, bursting strength (e.g., minimum 200 lbs/sq inch), dimensions, weight limits, stacking strength, closure method, and whether palletization is required; (b) inner packaging -- individual product wrapping, cushioning material, dividers, desiccants, polybag specifications (including suffocation warning for polybags over a specified size as required by various jurisdictions); (c) pallet specifications -- material (plastic, heat-treated wood, plywood), dimensions (standard ISO pallet or destination-market standard), load capacity, IPPC compliance; (d) labeling and marking requirements -- shipping marks, handling marks ("Fragile," "Keep Dry," "This Side Up"), country of origin, carton content labeling, and barcoding; and (e) environmental compliance -- heavy metals limits, recycled content requirements, and material restrictions (e.g., EU Packaging Waste Directive heavy metal limits of 100 ppm total for lead, cadmium, mercury, and hexavalent chromium).
The contract should contain express warranties from the supplier that: (a) all goods and their packaging comply with all applicable laws, regulations, and standards of the destination country specified in the contract; (b) all certification marks applied to the goods or packaging (CE, FCC, FDA, UL, CCC, etc.) are validly held by the manufacturer and cover the specific products shipped; (c) all certification documentation provided to the buyer is genuine and current; and (d) the supplier will notify the buyer immediately of any change in certification status, regulatory requirements, or material composition that could affect compliance. These warranties should survive delivery and acceptance of the goods for a period equal to the statute of limitations for breach of contract in the applicable jurisdiction.
Before the goods leave the factory, commission an independent third-party inspection focusing specifically on packaging and labeling. The inspection should verify: carton quality and specifications; labeling accuracy and completeness (against the contract annex and destination country requirements); certification marks and their validity; pallet/IPPC compliance; barcode scannability; and packaging adequacy for the intended transit mode. The inspection report should be photo-documented and signed, forming part of the pre-shipment documentation. Under a well-drafted contract, successful completion of this inspection is a condition precedent to the buyer's obligation to make the shipment payment installment.
The contract should specify what happens if goods are rejected at destination customs due to packaging or labeling non-compliance: (a) the supplier bears all costs of customs rejection, including demurrage, detention, examination fees, re-export or destruction costs, and any customs fines or penalties; (b) the buyer has the right to cancel the contract and demand a full refund of the purchase price plus compensation for consequential losses; (c) alternatively, the buyer may elect to incur the costs of bringing the goods into compliance (re-labeling, re-packaging, destruction of non-compliant packaging) and deduct those costs from amounts owed to the supplier; and (d) the supplier indemnifies the buyer against any claims by third parties (downstream customers, retailers) arising from the customs rejection or delayed delivery.
Many product certifications have finite validity periods. CE certifications issued under the Construction Products Regulation (CPR) may require annual factory production control audits. UL certifications require quarterly or annual factory surveillance visits. FDA food facility registrations must be renewed biennially. A certification that was valid when the supplier relationship began may have expired by the time the third production run ships. The buyer should maintain a certification calendar for each supplier, tracking: certification type, issuing body, certification number, date of issue, expiry date, scope of coverage (specific product models), and renewal requirements. The supplier contract should require the supplier to provide updated certification documentation at least 30 days before expiry, with the buyer's right to suspend orders if certifications are not maintained.
Do not rely on supplier-provided certification certificates alone. Verification steps include: (a) checking the certification body's online database to confirm the certificate is genuine and current; (b) verifying that the certificate holder is your supplier (or its authorized manufacturer) and not a different entity; (c) confirming the certificate covers the specific product models, not just the product category; (d) for UL certification, checking the UL Online Certifications Directory for the specific file number; (e) for CE marking, verifying the Declaration of Conformity (DoC) and the Notified Body certificate where applicable; and (f) for FDA registration, checking the FDA Establishment Registration database.
