Quality defects are the single most common source of dispute between foreign buyers and Chinese suppliers. Understanding your legal rights under the CISG, how to preserve evidence, and when to engage counsel can mean the difference between a recovered loss and a write-off.
Quality defects are the number one dispute type in China sourcing — and the most preventable with proper legal structuring.
When a foreign buyer places an order with a Chinese factory, the working assumption is that the bulk production will match the approved sample. In practice, this assumption fails with alarming frequency. Suppliers face relentless margin pressure, and the temptation to substitute cheaper materials, relax quality control, or rush production to meet a deadline is ever-present. The result: containers arrive at destination ports containing goods that are unsellable, or worse, dangerous.
The legal framework exists to protect buyers — the CISG, the Chinese Civil Code, and well-drafted contracts all provide remedies. But the practical challenge is that by the time the defect is discovered, the goods are thousands of miles from the factory, the supplier is already deflecting blame, and the clock on your notice obligation under CISG Article 39 is ticking. Every hour matters.
Key Insight: The single most important factor in any quality defect dispute is the quality of your evidence — and whether it was preserved before the supplier had an opportunity to challenge or destroy it. A third-party inspection report obtained at the factory gate before shipment is worth ten expert reports commissioned after the dispute has erupted. Invest in pre-shipment evidence. It pays for itself in every dispute.
The most pervasive quality defect pattern. The approved gold sample uses grade-A stainless steel; the production run uses a lower-grade alloy that looks identical but corrodes in six months. Fabric weight is reduced, zippers are sourced from a cheaper supplier, or electronic components are swapped for uncertified alternatives. The cost saving for the supplier is real; the reputational damage for the buyer is often existential.
The gold sample passes every test. But the production run differs in dimensions, color consistency, stitching quality, or fit and finish. This is especially common in apparel, furniture, and consumer electronics — categories where subjective aesthetic judgment intersects with objective specifications. Without a retained sealed sample and a specification sheet incorporated into the contract, proving the deviation can be surprisingly difficult.
Goods appear acceptable upon initial inspection but fail after weeks or months of use. Electronic components overheat after 100 hours of operation. Fabric dyes fade after three washes. Welds crack under normal load. These latent defects are the most dangerous because they may pass a pre-shipment inspection and only surface after the buyer has already accepted delivery and paid the balance — and after the CISG notice window may have arguably closed.
Acceptable Quality Level (AQL) sampling is standard industry practice, but disagreements over methodology are common. The supplier's inspector uses AQL 2.5 (allowing more defects); the buyer expects AQL 1.0. Sampling is conducted on a partial batch rather than the full lot. The supplier challenges the randomness of the selection. Without a contractually specified AQL standard, sampling protocol, and mutually agreed third-party inspector, these disputes devolve into a battle of competing reports.
When a defect is identified, a common supplier defense is: "The problem is in your design, not our manufacturing." The supplier argues that the specification provided by the buyer was inherently flawed, or that the buyer's choice of materials made the defect inevitable. This defense is particularly potent when the buyer provided the design files (CAD, tech packs) and the supplier merely executed them — shifting the burden back to the buyer to prove that the manufacturing process, not the design, caused the failure.
Quality defects are not limited to the product itself. Incorrect labeling (wrong barcodes, missing certification marks, inaccurate country-of-origin statements), substandard packaging that fails during transit, or non-compliant retail packaging that triggers customs rejection at the destination port are all quality failures with serious consequences — and they are often overlooked in contract specifications.
Article 35 of the UN Convention on Contracts for the International Sale of Goods (CISG) requires that goods delivered by the seller conform to the contract in quantity, quality, and description. The goods must be fit for the purposes for which goods of the same description would ordinarily be used, fit for any particular purpose made known to the seller, and possess the qualities of a sample or model held out by the seller. This establishes a baseline obligation that supplements (and in some cases exceeds) what the contract itself says.
Article 38 requires the buyer to examine the goods within as short a period as is practicable in the circumstances. Article 39 then requires the buyer to give notice to the seller specifying the nature of the lack of conformity within a reasonable time after the buyer discovered or ought to have discovered the defect. The outer limit is two years from the date of delivery — but in practice, Chinese courts and tribunals apply a far shorter "reasonable time" for obvious defects. Failure to give timely notice results in the buyer losing the right to rely on the lack of conformity.
The Chinese Civil Code (effective January 1, 2021) incorporates quality warranty obligations in Book III (Contracts). Articles 610-619 address seller's warranties, buyer's inspection obligations, and remedies for non-conforming goods. Chinese law largely parallels the CISG, but with some important differences — including a statutory quality warranty period that may apply even if the contract is silent. Where the CISG and Chinese domestic law diverge, the contract's governing law clause determines which framework applies.
Critical: The "Reasonable Time" for Notice Under CISG Art. 39
Chinese courts interpret the "reasonable time" for giving notice of non-conformity strictly. For obvious defects (those discoverable upon reasonable inspection at delivery), Chinese courts have held that notice must be given within days or at most a few weeks — not months. For latent defects, the clock starts from the date of discovery, but the buyer bears the burden of proving when discovery occurred and that the delay in discovery was not due to the buyer's own negligence.
Examples from practice: A European buyer who waited 45 days after delivery to notify a Chinese supplier of fabric color deviation was found to have forfeited its claim because the deviation was "reasonably discoverable upon initial inspection." Conversely, a US buyer who discovered a structural defect in machinery after six months of operation succeeded because the defect was latent and the buyer commissioned an expert report within two weeks of the first failure.
Practical rule: Inspect immediately upon receipt. Document every defect within 24-48 hours. Notify the supplier in writing within 7 days if possible, but absolutely within 30 days. For latent defects, notify within 7 days of discovery. Never delay notice while you "investigate further" — you can supplement your notice later with additional detail, but the initial notice must be timely.
A contract that says "quality must be good" or "conform to sample" is almost useless in a Chinese legal proceeding. Chinese judges and arbitrators expect specificity. The contract should define quality with measurable, objective criteria that leave as little room as possible for subjective disagreement.
Instead of "fabric must be high quality," specify: "Fabric composition: 100% cotton, 40s yarn count, 140gsm weight, colorfastness rating 4 minimum under ISO 105-C06." Instead of "electronics must work reliably," specify: "MTBF minimum 10,000 hours, operating temperature range -10C to +50C, RoHS compliant, CE certified to Directive 2014/30/EU." The more objective the standard, the harder it is for a supplier to argue that the goods are acceptable.
Two sets of sealed samples should be produced: one retained by the buyer, one by the supplier. Each should be signed and dated by both parties, with photographs taken and appended to the contract. A third set can be deposited with the third-party inspection company. The sealed sample is the definitive reference point — if the production run does not match the sealed sample, the supplier is in breach.
The contract must expressly grant the buyer (or its designated agent) the right to conduct inspections at the factory during production, before shipment, and at the destination port. The supplier should be obligated to provide access, samples, and production records. The contract should specify that the cost of inspection is borne by the buyer unless defects exceeding the AQL are found, in which case the supplier reimburses the inspection cost.

Legal Weight of Sealed Samples in Chinese Courts: Chinese courts accord substantial evidentiary weight to sealed samples that have been signed by both parties. They are treated as an integral part of the contract. If a sealed sample exists and the production goods materially deviate from it, the buyer's case is significantly strengthened. Conversely, if no sealed sample was retained, the dispute becomes a contest of competing recollections and undocumented standards — a contest the buyer often loses.
In a quality defect dispute, the party with the best evidence wins — not necessarily the party that is right. Chinese courts and arbitral tribunals place a premium on contemporaneous, third-party-verified, and properly authenticated evidence.
Reports from internationally recognized inspection companies — SGS, Bureau Veritas, TUV Rheinland, Intertek — carry substantial weight in Chinese legal proceedings. These companies have accredited laboratories, standardized testing protocols, and recognized expertise. A report from an unknown local inspector will face far greater scrutiny and may be dismissed as unreliable. The report should be commissioned in the name of the legal entity that is party to the contract, and the inspector should be instructed to preserve all test samples, photographs, and raw data.
For evidence to be admissible in Chinese courts, foreign-language documents must be translated into Chinese by a certified translation agency. Electronic evidence (emails, WeChat messages, digital photographs) should be notarized to establish authenticity and prevent challenges that the evidence has been tampered with. WeChat records are particularly important — they are the primary communication channel for most Chinese suppliers — and should be exported and notarized as soon as a dispute appears likely.
Every step in the movement and handling of defective goods should be documented. When goods are transferred from the port to a warehouse, record who handled them and when. When samples are sent to a testing laboratory, use a courier with tracking and obtain a receipt. When goods are stored pending resolution, maintain a log of access. A broken chain of custody allows the supplier to argue that the defect occurred after delivery — during the buyer's handling, storage, or transportation.
If defects are suspected upon arrival, commission laboratory testing at the destination port before the goods clear customs and enter the buyer's warehouse. Testing at the port establishes that the goods were defective upon arrival — before any possibility of post-delivery damage or tampering. The customs clearance documentation, combined with the port-side lab report, creates a tight chronological record that is difficult for a supplier to challenge.
Photographs and videos are powerful but must be collected methodically. Best practices include: photograph the container number and seal before opening; video-record the unsealing and unloading process in one continuous shot; photograph each defect with a ruler or reference object for scale; include date stamps and location metadata; photograph the shipping marks and carton labels. All media should be backed up immediately and stored in at least two locations.
Request and preserve the supplier's production records — batch numbers, quality control check sheets, raw material certificates, and in-process inspection reports. If the supplier refuses to provide these during the relationship, that refusal itself becomes relevant in a dispute. Production records can reveal whether the supplier followed its own stated quality control procedures and whether the defect was systematic (affecting the entire production run) or isolated.
When you discover quality defects in a shipment from a Chinese supplier, follow this protocol. The sequence matters — skipping a step or acting out of order can irreparably damage your legal position.
Inspect the goods as soon as they arrive — ideally at the port or within 24-48 hours of delivery to your warehouse. Do not sign a clean delivery receipt if the goods show visible damage or non-conformity. Note any discrepancies on the delivery document. Under CISG Article 38, you must examine the goods within as short a period as is practicable. Delaying inspection weakens your legal position before you have even begun.
Take high-resolution photographs and video of every defect. Create a detailed written log identifying each defect by carton number, product SKU, and nature of the non-conformity. Count and record the number of defective units versus the total quantity. Photograph the shipping marks, container number, and factory labels. This documentation is your primary evidence — it must be thorough enough that a judge or arbitrator who has never seen the product can understand what is wrong.
Send a written notice to the supplier identifying the specific defects, referencing the contract and order number, and stating that the goods do not conform. The notice must "specify the nature of the lack of conformity" (CISG Art. 39). A vague complaint ("the quality is bad") is insufficient. Send the notice by email and by courier or registered post. Keep proof of dispatch. This notice must be sent within the CISG "reasonable time" — which, as discussed above, Chinese courts interpret strictly.
Do not return the defective goods to the supplier without first consulting legal counsel. Returning the goods without the supplier's agreement may be treated as a unilateral rescission of the contract, potentially exposing you to a claim that you wrongfully rejected conforming goods. Furthermore, once the goods are back in the supplier's possession, your evidence is gone. Store the defective goods securely, maintain segregation from conforming inventory, and do not dispose of or alter them.
Contact your China trade dispute lawyer before engaging in substantive negotiations with the supplier about remedies. Early legal involvement ensures that your communications do not inadvertently waive rights, admit facts, or create contractual modifications. Your lawyer will advise on the strength of your legal position, the appropriate remedy to demand, and the strategy for negotiation or escalation. The cost of early legal advice is a fraction of the cost of a misstep.
Engage an accredited third-party inspection company (SGS, Bureau Veritas, TUV, Intertek) to conduct an independent inspection of the defective goods and issue a formal report. The report should identify the nature, extent, and likely cause of the defects. If possible, the inspection should be conducted jointly — with the supplier invited to attend or send a representative. A joint inspection report is significantly harder to challenge than a unilateral one. If the supplier refuses to participate, document the refusal.
The most cost-effective quality dispute is the one that never happens. Pre-shipment inspection shifts the point of quality verification from your receiving dock to the supplier's factory floor — where problems are cheaper to fix and harder to dispute.
An inspector visits the factory while production is underway — typically when 20-30% of the order is complete. The inspector checks raw materials, work-in-progress, production processes, and early output. This catches systemic problems early, before the entire order is produced incorrectly. It also signals to the supplier that quality is being monitored seriously, which often improves performance on its own. The cost is modest relative to the value of catching a problem at 20% completion versus 100%.
The most common form of pre-shipment inspection. After production is 100% complete and at least 80% packed, an inspector draws a random sample according to the agreed AQL sampling plan and inspects for workmanship, function, dimensions, appearance, labeling, and packaging. A passed inspection triggers the "shipment release" authorization. A failed inspection triggers rework, re-inspection, or rejection — depending on the contractual terms. This is the minimum standard for any buyer sourcing from China.
An inspector is present during the loading of the container at the factory or freight forwarder's warehouse. The inspector verifies that the correct quantity of the correct goods (post-inspection, not pre-inspection) is loaded, checks container condition before loading, monitors handling and stacking to prevent in-transit damage, and records the container seal number. Container loading supervision prevents the "bait and switch" — where the inspected goods are set aside and a different batch is loaded into the container after the inspector leaves.
In-line inspection is ideal for first-time orders with a new supplier, complex products with multiple production stages, or when the supplier has a known quality inconsistency problem. Final random inspection is the baseline for all orders — it should never be skipped. Container loading supervision is recommended for high-value orders, when the supplier has previously substituted goods, or when the buyer's commercial relationship with the end customer depends on exact order fulfillment. For critical orders, combine all three.
When a quality defect is raised, Chinese suppliers rarely accept responsibility immediately. Here are the defenses you are most likely to encounter — and how to counter each one.
Counter-strategy: "Industry standard" is not a legal defense to a breach of contract. The contract specifies the standard. If the contract incorporates objective specifications — a sealed sample, an AQL methodology, a material specification sheet — those specifications prevail over whatever the supplier claims is "standard." The CISG and Chinese Civil Code both measure conformity against the contract, not against industry practice. If the supplier wanted industry practice to govern, it should have negotiated that into the contract.
Counter-strategy: Under the CISG and general contract law, each shipment under a sales contract is a separate performance. Acceptance of one shipment does not waive the right to reject a later non-conforming shipment — unless the contract expressly provides otherwise or the buyer's conduct unequivocally communicated such a waiver. The buyer's right to insist on conformity for each delivery is fundamental. Do not allow a supplier to blur the line between separate shipments.
Counter-strategy: This is the design-blame shift. The burden of proof rests on the supplier to establish that the defect was caused by the buyer's design, not by the supplier's manufacturing. If the buyer provided detailed, unambiguous specifications and the supplier accepted the order, the supplier assumed responsibility for executing those specifications. A well-drafted contract will include a clause stating that the supplier has reviewed the buyer's specifications and confirms they are manufacturable — shifting the risk of manufacturing feasibility back to the supplier.
Counter-strategy: This invokes CISG Article 39's reasonable-time requirement. The buyer's response: demonstrate that notice was given within a reasonable time of discovery. If the buyer inspected within days of delivery and notified within days of inspection, this defense fails. For latent defects, the buyer must demonstrate that the defect could not reasonably have been discovered earlier and that notice was given promptly upon discovery. The key evidence: inspection records, dated photographs, email timestamps, and courier receipts for the notice letter.
Counter-strategy: The supplier's allocation of the deposit to raw material purchases is the supplier's business decision and risk — not the buyer's problem. The deposit is a prepayment toward the purchase price, not an earmarked materials fund. If the supplier cannot deliver conforming goods, the buyer is entitled to a refund of the deposit (and potentially damages) regardless of what the supplier spent it on. The supplier's cash flow management does not create a defense to breach of contract.
Counter-strategy: A promise to improve quality in a future order is not a remedy for a defective current order. Accepting this offer without a documented agreement creates risks: it may be treated as a waiver of the current claim, and it creates reliance on a supplier who has already demonstrated quality problems. If the commercial relationship is worth preserving, any "fix it next time" arrangement should be documented in a settlement agreement that expressly reserves the buyer's rights with respect to the current defective shipment and specifies measurable quality standards for future orders with defined consequences for non-compliance.
When a Chinese supplier delivers defective goods, the buyer has a range of remedies available under the CISG and Chinese law. The appropriate remedy depends on the severity of the defect, the terms of the contract, and the commercial objectives of the buyer.
CISG Article 74 — The Fundamental Damages Principle
"Damages for breach of contract by one party consist of a sum equal to the loss, including loss of profit, suffered by the other party as a consequence of the breach. Such damages may not exceed the loss which the party in breach foresaw or ought to have foreseen at the time of the conclusion of the contract, in the light of the facts and matters of which he then knew or ought to have known, as a possible consequence of the breach of contract."
The foreseeability test is critical. If the buyer told the supplier that the goods were destined for a specific retail promotion with liquidated damages to the buyer's end customer, those consequential losses are foreseeable and recoverable. If the buyer never disclosed the downstream commercial context, the supplier can argue that lost profits and consequential losses were not foreseeable. Disclose your commercial context in the contract.
The following anonymized cases illustrate how quality defect disputes unfold in practice — and how the legal principles discussed above determine outcomes. Details have been generalized to protect client confidentiality.
A European importer ordered 10,000 units of kitchenware from a Guangdong-based factory, specifying SUS304 (18/8) stainless steel in the contract. The gold sample was made of SUS304 and passed all tests. The production run, however, used SUS201 — a lower-grade steel with less nickel content, more prone to corrosion. The substitution was visually undetectable. It was discovered only when end customers reported rusting after 4-6 months of use. The buyer had retained a sealed sample and had commissioned a pre-shipment inspection that checked dimensions and appearance but did not include metallurgical testing.
A North American brand contracted with a Shenzhen-based electronics manufacturer for 50,000 units of a consumer device. The first production run of 5,000 units passed initial inspection and was shipped.
